Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and Magnifio concerning your access to and use of Magnifio’s website, applications, APIs and related services (the “Service”). By creating an account, accessing or using the Service, you agree to these Terms and acknowledge the Privacy Policy.

If you use the Service for an organization, you represent that you have authority to bind that organization. In that case, “you” also means the organization. If you do not agree to these Terms, do not use the Service.

Eligibility and accounts

You must be legally able to enter into this agreement and at least 18 years old to use the Service. You must provide accurate account information, protect your credentials and promptly notify Magnifio of suspected unauthorized access.

You are responsible for activity under your account and for configuring workspace memberships and roles appropriately. Organization owners and administrators may manage organization workspaces, shared integrations and member access.

The Service

Magnifio lets authorized users connect supported sources, index permitted content, retrieve evidence, generate answers and citations, plan work and request isolated workspace tasks. Features may vary by workspace, plan, environment or availability.

We grant you a limited, non-exclusive, non-transferable and revocable right to use the Service during the term of these Terms for your internal business or professional purposes, subject to all applicable limits and documentation.

Your content and permissions

As between you and Magnifio, you retain your rights in content you submit or connect to the Service (“Your Content”). You grant Magnifio a limited right to host, copy, process, transmit, display and create technical derivatives of Your Content only as needed to provide, maintain, secure and support the Service.

You represent that you have all rights and permissions necessary to provide Your Content and authorize its processing. You must not connect an account, mailbox, repository, project or other source you are not authorized to use.

Google sign-in does not authorize Gmail, Drive or Calendar access. Each source connection is a separate action. Magnifio’s handling of Google Workspace data is described in the Privacy Policy and adheres to the Google API Services User Data Policy, including the Limited Use requirements.

AI-generated material and workspace tasks

The Service uses machine-learning systems. Answers, summaries, plans, citations, patches and other generated material may be incomplete, inaccurate or unsuitable for your circumstances. You are responsible for reviewing generated material and the underlying source before relying on it.

Do not rely on the Service as a substitute for professional legal, medical, financial, safety or other expert advice. Do not use output as the sole basis for decisions that have legal or similarly significant effects on a person.

Coding agents operate in isolated task workspaces and may propose changes through a draft pull request. Magnifio’s agent does not merge or deploy those changes. You remain responsible for code review, testing, approval, merging, deployment and the effects of any change you accept.

Acceptable use

You may not use the Service to:

• violate law, another person’s rights, contractual restrictions or provider terms;
• access, monitor or disclose data, systems or accounts without authorization;
• distribute malware, exploit vulnerabilities, evade security controls, conduct surveillance or facilitate credential theft;
• harass, defraud, impersonate or cause material harm to another person;
• overload, disrupt, scrape, probe or reverse engineer the Service, except where a restriction is prohibited by law;
• resell or provide the Service to third parties unless Magnifio has agreed in writing; or
• use the Service or its output to develop or train a competing generalized model in violation of these Terms or third-party rights.

You may not attempt to bypass tenant isolation, authorization checks, usage limits, restricted-scope protections or the agent’s prohibition on committing, merging, deploying or receiving provider credentials.

Third-party services

The Service interoperates with third-party services such as authentication, cloud, database, model and source providers. Your use of a third-party service remains subject to that provider’s terms and policies. Magnifio is not responsible for a third party’s service, content, availability or independent actions.

You authorize Magnifio to send instructions to connected services only when needed to perform features you request or an authorized workspace administrator approves.

Service changes and availability

We may add, modify, limit or discontinue features and may establish reasonable usage, storage, security or rate limits. We may perform maintenance or respond to incidents that temporarily affect availability.

We do not promise that the Service will be uninterrupted, error-free or compatible with every source or model. Preview, pilot or beta features may change and may be less reliable than generally available features.

Intellectual property and feedback

Magnifio and its licensors retain all rights in the Service, including its software, interface, documentation, trademarks and underlying technology. These Terms do not grant rights to Magnifio’s names, marks or branding.

If you provide feedback, you allow Magnifio to use it without restriction or compensation, provided that we do not identify you publicly as the source without permission.

Suspension and termination

You may stop using the Service at any time. You can disconnect sources and delete conversations through the Service. Contact us to request account deletion.

We may suspend or terminate access when reasonably necessary to address a security risk, prevent harm, comply with law, respond to a material breach of these Terms, or protect the Service or other users. Where practical, we will provide notice and an opportunity to cure.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive—including provisions concerning ownership, disclaimers, liability and disputes—will survive.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MAGNIFIO DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND RELIABILITY.

Magnifio does not warrant any generated output, third-party service, source content, security result, draft pull request or business outcome. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MAGNIFIO AND ITS AFFILIATES, PERSONNEL AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, MAGNIFIO’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID MAGNIFIO FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR US$100. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

General terms

You may not assign these Terms without Magnifio’s prior written consent. Magnifio may assign them in connection with a reorganization, merger, acquisition or sale of assets. If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver.

These Terms, together with the Privacy Policy and any written service agreement between you and Magnifio, are the entire agreement concerning the Service. A written service agreement controls to the extent it expressly conflicts with these Terms.

Changes and contact

We may update these Terms as the Service or applicable requirements change. We will update the date above and provide additional notice when required. Your continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
